Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Cozy Holdings Corp., a British Columbia, Canada corporation ("Company", "we", "us"), governing your use of the Vesta OS platform and related services ("Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
Vesta OS is an AI-native operating system for alternative accommodation operators. The Service includes:
- VRM — AI guest messaging, dynamic pricing, and channel management
- Cleanfy — Cleaning and maintenance dispatch, photo QA, and vendor settlement
- Cozystay Direct — Direct booking website creation and management
- Entrepreneur Console — Unified dashboard for all modules
- AI Marketing Studio — AI-generated content and advertising (early access)
3. Account Registration
You must create an account to use the Service. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You must be at least 18 years of age to use the Service. By registering, you represent that you meet this requirement and have the authority to bind any organization on whose behalf you are registering.
4. Subscription and Payment
Access to the Service requires payment of applicable fees as described on our Pricing page. Fees are billed in USD on a usage-based model:
- Guest Comms Autopilot: $69 per listing per month (Individual Host) / $59 (City Partner)
- Autonomous Pricing: 5% of AI-priced booking revenue (Individual Host) / 4.5% (City Partner)
- Ops Autopilot: $10 per dispatched job (Individual Host) / $9 (City Partner)
- Enterprise pricing is custom and subject to a separate agreement
Payment is processed by Stripe, Inc. By providing payment information, you authorize us to charge applicable fees. All fees are non-refundable except as required by law or as expressly stated in these Terms.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Violate the terms of service of any connected OTA platform (Airbnb, Booking.com, etc.)
- Attempt to gain unauthorized access to any part of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit spam, malware, or harmful content
- Resell or sublicense access to the Service without our written consent
- Use automated means to scrape or extract data from the Service
6. Data and Intellectual Property
Your data: You retain ownership of all data you input into the Service, including property listings, guest communications, and operational records ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service.
AI training: We may use anonymized and aggregated operational data derived from Customer Data to train and improve our AI models. We will not use identifiable Customer Data for this purpose without your consent.
Our intellectual property: The Service, including all software, algorithms, designs, and content created by us, is owned by Cozy Holdings Corp. and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.
7. OTA Platform Integrations
The Service integrates with third-party platforms including Airbnb, Booking.com, Ctrip, Expedia, and Vrbo. Your use of these integrations is subject to the terms and policies of those platforms. We are not responsible for changes to third-party APIs or policies that may affect Service functionality.
You represent that you have the authority to connect your OTA accounts to the Service and that doing so does not violate any agreements with those platforms.
8. AI and Automation
The Service uses artificial intelligence to automate guest communications, pricing, and operational workflows. You acknowledge that:
- AI-generated responses may not always be perfect and should be reviewed for high-stakes communications
- You remain responsible for all communications sent through the Service under your account
- Dynamic pricing recommendations are based on available data and may not reflect all market conditions
- You can configure human-review requirements for any automated action
9. Service Availability
We strive to maintain 99.5% uptime but do not guarantee uninterrupted access to the Service. Scheduled maintenance will be announced in advance where practicable. We are not liable for any losses resulting from Service unavailability beyond the monthly fees paid for the affected period.
10. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to lost profits, lost bookings, or reputational harm.
Our total liability to you for any claims arising from these Terms or the Service shall not exceed the fees paid by you in the three months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Cozy Holdings Corp. and its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
You may cancel your account at any time through the Entrepreneur Console or by contacting support@vestaos.ai. Cancellation takes effect at the end of the current billing cycle.
We may suspend or terminate your account immediately if you violate these Terms, fail to pay applicable fees, or if required by law. Upon termination, your right to access the Service ceases and we may delete your Customer Data after a 30-day grace period.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of British Columbia, and you consent to the exclusive jurisdiction of such courts.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email and by posting the updated Terms on this page. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
